1. Awards

Prices are quoted in Euros net of tax. Prices may be revised without prior notice.

2. Control

All orders for recording equipment or services must be accompanied by a signed and sealed order form or quotation, which implies full and unreserved acceptance of our general terms and conditions of sale. Any modification of these general terms and conditions must be explicitly mentioned on the invoice, the accepted quotation or in the Special Terms and Conditions of Sale.

3. Billing

Invoices are always drawn up at the prices and conditions in force at the time of ordering the service or equipment ordered. The minimum invoice amount is 30 Euros excluding VAT.

4. Delivery

VOXELIS reserves the right to deliver all or part of your orders. Equipment is dispatched within 48 working hours of receipt of order, subject to availability of items in stock. In the event of a specific hardware preparation service (music pre-loading, memory extension, etc.), this lead time is extended to 72 hours. VOXELIS undertakes to notify you by fax or email if these lead times are exceeded.

5. Transport

Transport is at the customer's expense. Carriage paid for all orders for recording services or equipment orders of a minimum of 300 Euros excluding VAT for France and Corsica (excluding French overseas departments and territories). In the event of missing or damaged equipment, precise written reservations on the transport note must be confirmed within 3 working days by registered letter with acknowledgement of receipt. If these conditions are not respected, the customer will be held responsible and no refund will be possible. The customer must check the goods on receipt and check the quantities, the condition of the equipment, the references of the goods and their conformity with the order. After a period of 3 days from the date of receipt of the goods, no claim will be possible.

6. Guarantee

Hardware

VOXELIS provides a one-year standard exchange guarantee on all invoiced products. Breakdowns resulting from abnormal use are excluded from this guarantee,
electrical surge, breakage, fire, water damage, or an installation not entrusted to a telecommunications professional. The standard exchange is subject to the availability of the equipment. In the event of an advance, the faulty equipment must be returned within two weeks. After 15 days, any equipment not returned will be invoiced at the new rate in force.

Registration services

VOXELIS provides a guarantee on all invoiced voice messages. The claim period is limited to 10 working days from the date of delivery of the messages. This guarantee applies in the event of non-conformity of the delivery with the customer's instructions (errors in text, music, file formats and lengths, recording media) and unsuitability of the sound levels for the broadcast equipment announced by the customer. In the case of subjective assessment criteria based on the customer's explicit instructions (tone, rhythm, accent, etc.), the guarantee applies on condition that the customer accepts a period of reflection and testing of 20 working days to confirm his complaint. The customer undertakes to provide all the artistic and technical information required to produce a voice message: phonetics, typed text, foreign language translation, musical background, message length, message delivery format, delivery medium. The information attached to the order form is considered to be a «Recording Form». This information is essential for the application of the guarantee clause.

7. Subscription contracts, message credits

Recurring recording services, subscription packages and message credits sold by VOXELIS are subject to special terms and conditions of sale, stipulated on the sales documents for these services and accepted by the customer when the order is placed or when the first invoice is paid.

8. Terms of payment

Type of payment

The first order must be paid for in cash by cheque or bank transfer. The terms of payment for subsequent orders are on receipt of invoice by bank transfer, cheque or bill of exchange accepted at 30 days end of month. Complaints about invoices must reach us no later than eight days after receipt of the statement.

Late payment penalties

For invoices unpaid on the due date, the debtor will be liable for all legal and procedural costs. Any delay in payment
will automatically incur a fixed penalty of 15% of the total amount of the unpaid invoice, payable by the customer.

Reservation of ownership

VOXELIS retains ownership of the goods sold until full payment has been made for the materials supplied (Law no. 80-335 of 12 March 1980).

9. Intellectual and artistic property

Any unauthorised reproduction or distribution of all or part of our recordings is unlawful and may result in prosecution.

10. Limitation of liability

The VOXELIS service is limited to the supply and delivery of equipment and sound recordings, the use, maintenance and coordination of which remain the responsibility of the customer. VOXELIS disclaims all liability for the indirect consequences of malfunctions in the equipment, logistics or planning of these services.

11. Taxes and royalties SACEM and SCPA

Any present or future taxes, levies or royalties of the SACEM or SCPA (SCPP and SPPF) type are payable by the customer. Music that is not
royalty-free» or «free of rights» SACEM and/or SCPA music is guaranteed by VOXELIS to be free of rights at the time of the order, and for a maximum period of 12 months. During this period, and in the event that the said music becomes a protected work and is therefore subject to royalties from these organisations, VOXELIS undertakes to mix your recording again free of charge with another piece of music of your choice.

12. Responsibilities and powers

For any dispute between VOXELIS and one of its customers, the Commercial Court of BORDEAUX shall have jurisdiction.
